Timothy attended the University of Maine School of Law in Portland, Maine, where he earned his Juris Doctor in 2015. While in law school, he served as a Student Attorney for the Refugee & Human Rights Clinic, while also working and gaining legal experience in various intern and assistant roles for the Embassies of the United States of America in the United Kingdom, the Bureau of Economic & Business Affairs, the Consulate General of Ireland, and the Maine Supreme Judicial Court. Before law school, Timothy obtained his Bachelor of Arts in Global Economics from the University of California – Santa Cruz in 2012. He is currently licensed and ready to assist his clients in the State of Illinois and the U.S. District Court for the Northern District of Illinois. He is proud to represent individuals from all backgrounds and communities, and is himself part of the Jewish, Persian, and LGBTQ+ communities throughout Chicago.

Before founding the Cameron Law Center, LLC, Timothy most recently served as in-house counsel to a healthcare management services organization for the largest privately held and operated group of chiropractic clinics in the United States. In this role, his tasks included overseeing the composition of purchase agreements and ancillary documentation for numerous multimillion-dollar transactions leading to an expansion from 125 clinics in nine states to 145 clinics in twelve states, counseling C-Suite Executives through a clear comprehension of the organization's growth model, and negotiating, drafting, and overseeing full execution of transactional documents including vendor agreements, commercial leases, physician contracts, and restrictive covenant agreements among others. Special Assistant General Counsel, November 2023 – October 2024

  • Served as Special Assistant General Counsel to one of the largest administrative agencies in the State of Illinois.
  • Drafted and negotiated all contracts on behalf of the Illinois Department of Children and Family Services ("DCFS"), including affiliation agreements, procurement contracts, data sharing agreements, memoranda of understanding, intergovernmental agreements, grants, purchase of care agreements, and contracts necessary for anticipated litigation.
  • Drafted data breach letters and conducted legal review of DCFS public communication materials.
  • Provided counsel to DCFS officials regarding proposed initiatives and policy.
  • Represented DCFS interagency meetings and in hearings before the Illinois General Assembly.

Corporate Counsel, October 2022 – August 2023

  • Served as in-house counsel to a healthcare management services organization ("MSO") for the largest privately held and operated group of chiropractic clinics in the United States. Created purchase agreements and ancillary documentation for numerous multimillion-dollar transactions leading to an expansion from 125 clinics in nine states to 145 clinics in twelve states.
  • Counseled C-Suite Executives through a clear comprehension of the organization's growth model in order to strategically address, minimize, and avoid risks within internal processes and outward, public-facing operations.
  • Contributed to the successful defense of the organization against employment claims and complex litigation involving the EEOC, OSHA, Title VII, ADA, FLSA, and FMLA.
  • Negotiated, drafted, and oversaw full execution of transactional documents including asset purchase agreements, vendor agreements (e.g., SaaS contracts, licensing agreements, marketing contracts, master services agreements, nondisclosure agreements, etc.), commercial leases, physician contracts, and restrictive covenant agreements.

  • Served as corporate counsel to domestic and international companies (particularly Chinese and Taiwanese) and provided guidance regarding various matters, including fiduciary duty matters, governance (including special committee matters), tax-driven reorganizations, capitalization matters, private proxy and consent solicitations, buy/sell and shareholder agreements, and administration of equity compensation plans.
  • Handled mergers and acquisitions and other corporate transactions for U.S., Chinese, and Taiwanese clients, including drafting and reviewing asset sale agreements, stock purchase agreements, promissory notes, letters of intent, assignments, bills of sale, confidentiality and non-competition agreements, and various other transactional documents, and managed related due diligence.
  • Oversaw all aspects of commercial and residential real estate transactions, including preparing and reviewing legal documents; negotiating the terms and conditions of real estate transactions; title and survey review; zoning; facilitating the transfer of titles; structuring, drafting, and negotiating commercial lease agreements; interpreting and analyzing statutes applicable to public-private projects, historical preservation, and property acquisitions.
  • Drafted, reviewed, and negotiated various other contracts, including partnership agreements, employment agreements, commercial leases, vendor contracts, supplier agreements, and construction contracts.
  • Represented and counseled clients on entity formation and associated corporate governance matters, prepared organizational, governing, and authorizing documents, such as articles of incorporation, operating agreements, bylaws, and board resolutions.
  • Represented clients in commercial loan transactions in drafting, reviewing, and analyzing documentation.
  • Prepared and reviewed various filings with the SEC for publicly traded companies, including S-1 Registration Statements, 10-Q Reports, 10-K Reports, and 8-K Reports, and created associated press releases.
  • Represented corporate and individual clients in a variety of litigation matters, including hearings, status calls, motions for summary judgment, trials, and verdicts.
